Ask for all of it before you make an offer. A seller who will not share it after an NDA is telling you something.
Most businesses sold here are not companies — they are a lease, a fit-out, a licence, a staff team and a name, transferred together. That matters, because the lease assignment and the licences are what carry the value, and neither transfers automatically when the money moves.
Foreign ownership is regulated by sector. A PT PMA carries minimum capital requirements and sector restrictions, and nominee arrangements — putting an Indonesian name on the shares — are unenforceable and put your money at risk. Take legal advice on the structure before you agree a price.
Ask for the operating licences by name: NIB, and where the business needs them a TDUP for tourism activities, a certificate of standards, and the alcohol licence if drinks are served. A café trading well without the right licences is worth considerably less than it looks.
